Udyam registration: what MSME status gets you

Udyam registration is the free, Aadhaar-based way to get official MSME status in India. Here is who qualifies under the 2025 limits, how to register, and which benefits are actually written into law and policy.

Udyam registration is the government’s official record that a business is a micro, small or medium enterprise (MSME). It is free, done online at udyamregistration.gov.in with an Aadhaar number, and needs no documents to be uploaded. The registration itself is not a subsidy. What it does is prove your MSME status, and that status unlocks specific legal protections and lending rules: faster payment from buyers, priority-sector bank credit, collateral-free loans backed by a guarantee fund, and preferences in central government purchasing.

This is a general explainer, not legal or tax advice. Check your own case with a chartered accountant or the MSME facilitation desk in your district.

Who counts as an MSME in 2026

Classification uses two tests together: investment in plant and machinery or equipment, and annual turnover. The limits were raised in the Union Budget 2025-26 and notified in Gazette notification S.O. 1364(E) of 21 March 2025, effective 1 April 2025. They remain the current limits as of October 2026.

CategoryInvestment up toTurnover up toBefore April 2025
Micro₹2.5 crore₹10 crore₹1 crore / ₹5 crore
Small₹25 crore₹100 crore₹10 crore / ₹50 crore
Medium₹125 crore₹500 crore₹50 crore / ₹250 crore

Three rules from the principal 2020 notification, S.O. 2119(E), still apply:

  • Both limits count. If a business crosses either limit for its category, it moves up. It moves down only when it falls below both.
  • Exports are excluded when turnover is calculated.
  • Turnover and investment figures are linked to income-tax and GST data through your PAN and GSTIN, so classification can be updated automatically.

A business that moves up a category keeps the non-tax benefits of its old category for three years, under a 2022 amendment.

Retail and wholesale traders have been allowed to register since 2 July 2021, but the government included them so they could get priority sector lending, and that is generally the main benefit open to trading businesses.

What Udyam registration is

Udyam replaced the older Udyog Aadhaar system on 1 July 2020. According to the Ministry of MSME, it is online, free, paperless and based on self-declaration. The portal issues a permanent registration number and a certificate with a QR code, and there is no renewal.

Any form of business can register: a sole proprietorship, partnership, LLP, company, HUF, cooperative, trust or self-help group. The legal structure doesn’t change your MSME category, which depends only on the two limits. If you are still choosing a structure, our comparison of sole proprietorship, LLP and private limited company covers that decision.

One enterprise gets one registration, which can list several activities.

How to register, step by step

The process below follows the official registration form and the 2020 notification.

  1. Open the official portal, udyamregistration.gov.in, and choose the option for new entrepreneurs not yet registered as MSMEs.
  2. Enter the Aadhaar number of the proprietor, managing partner (partnership) or karta (HUF); a company, LLP, cooperative, society or trust uses its authorised signatory’s Aadhaar with its own PAN and GSTIN. Verify with the OTP sent to the Aadhaar-linked mobile.
  3. Select the organisation type and enter the PAN. The portal validates it and pulls investment and turnover data from income-tax and GST records. PAN has been mandatory since 1 April 2021; our GST guide explains who must also register for GST.
  4. Fill in the business details: name, addresses, bank account, start date, employees, and the National Industrial Classification (NIC) code for each activity. You can also opt to register on the Government e-Marketplace (GeM).
  5. Submit with a final OTP. The certificate is generated online; download and print it yourself.

Without Aadhaar, you can approach a Single Window System, such as a District Industries Centre, with your Aadhaar enrolment slip.

Udyam Assist, for the smallest businesses

Many street vendors and home businesses have no PAN or GSTIN. For them, the government launched the Udyam Assist Platform on 11 January 2023, run by SIDBI. It covers informal micro enterprises exempt from filing GST returns because of their turnover, according to the RBI’s MSME FAQs. Registration is done through RBI-regulated lenders such as banks and NBFCs, and the certificate counts as a Udyam certificate for priority sector lending.

What MSME status actually gets you

These benefits are written into law or official policy. Except for priority sector lending, they apply only to micro and small enterprises (MSEs), not medium ones.

The 45-day payment rule

Under the MSMED Act, a buyer must pay a registered micro or small supplier by the date agreed in writing, which cannot be more than 45 days from accepting the goods or services. With no written agreement, the deadline is 15 days. A late buyer owes compound interest, with monthly rests, at three times the bank rate notified by the RBI. The law defines a “supplier” as an enterprise that has filed the memorandum, which today means Udyam registration.

If a buyer doesn’t pay, the supplier can refer the dispute to the state’s Micro and Small Enterprises Facilitation Council (MSEFC), which the Act says must decide it within 90 days. Applications are filed online through MSME Samadhaan. Its FAQ notes that Udyam registration is mandatory and must predate the invoice in dispute.

The tax rule that makes buyers pay

Tax law added teeth through the Finance Act, 2023. Section 43B(h) of the 1961 Act, now carried as section 37(2)(g) of the Income-tax Act, 2025 from 1 April 2026, lets a buyer deduct an amount owed to a micro or small enterprise only in the tax year it is actually paid, if it is paid after the MSMED Act deadline. Unlike most items in that section, the deduction is not rescued by paying before the return due date. The interest itself is never deductible under the MSMED Act. For a supplier, this is why large customers now ask for your Udyam number.

Bank credit and guarantees

Under the RBI’s 2025 priority sector directions, all bank loans to MSMEs qualify as priority sector lending, and banks rely on the category recorded on your Udyam certificate. Most commercial banks, regional rural banks and small finance banks also have a sub-target of 7.5% of their adjusted net bank credit for micro enterprises. The same RBI FAQ says banks must not take collateral for loans up to ₹10 lakh to micro and small units.

Above that, the Credit Guarantee Fund Trust for Micro and Small Enterprises (CGTMSE) guarantees collateral-free loans made by member lenders. From 1 April 2025 the ceiling rose from ₹5 crore to ₹10 crore, with cover of 75 to 90 per cent of the amount in default. A guarantee fee applies, and the lender still decides whether to lend.

Government purchasing

Under the Public Procurement Policy for MSEs, mandatory since April 2015, central ministries, departments and public sector enterprises must buy 25% of their annual procurement from micro and small enterprises, including 4% from SC/ST-owned and 3% from women-owned units. The policy also provides for free tender documents and exemption from earnest money deposits for eligible MSEs. It covers goods and services that MSEs produce, not trading, and each tender sets its own conditions.

Myths and scams to avoid

  • “You must pay for a Udyam certificate.” False. The portal states that registration is totally free. PIB Fact Check flagged a look-alike website charging ₹2,700 to “print” the certificate.
  • “You need to renew it every year.” There is no renewal; you update details when they change.
  • “MSME registration means a government grant.” It doesn’t. Each scheme has its own eligibility and application.
  • “You need a consultant to upload documents.” Nothing is uploaded. Check that the address bar says udyamregistration.gov.in before entering your Aadhaar.
  • “Medium enterprises get the 45-day protection.” The payment rules and the tax disallowance cover micro and small enterprises only.

The point: Udyam registration costs nothing and takes one sitting with an Aadhaar and a PAN. Its real value is legal: it makes buyers pay a micro or small supplier within 45 days, lets banks count your loan as priority lending, and opens collateral-free credit and a share of government purchases. Anyone charging you for the certificate is selling something the government gives away.
